Unintended Consequences: The Polarization of Corporate America

The past twenty to twenty-five years have seen unprecedented change in the field of Corporate Governance. As a nation we've seen periods of great prosperity and periods of recession. We have also seen corporate corruption and scandals as in the case of Enron, Tyco, Worldcom and others. We have witnessed government dysfunction by the agencies charged with handling of laws to address these issues, as well as the implementation of new laws such as Sarbanes-Oxley and Dodd-Frank.
The end result has been a move from corporate governance being a matter of State law, addressed in an apolitical manner by state legislatures and courts, to considerable political intervention from Washington, often driven by those with special interests.
